Terms of Service

These Terms of Service ("Terms") govern your use of the upnshop.com platform and the booking websites it hosts (the "Service"). The Service is provided by Upnshop ("Upnshop", "we", "us"), a booking platform operated by 李宛芸. By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Upnshop provides a software platform that lets businesses create and manage booking pages, and lets customers discover business information and complete bookings online.

When you make a booking with a business, the contractual relationship for that booking or service is between you and that business. Upnshop only provides the booking platform and related technical services; it is not the business's agent, distributor, or employer, is not a party to any transaction or service contract between you and the business, and does not itself provide the services booked. The information, content, prices, and service descriptions a business provides on the Service are supplied by and are the responsibility of that business, and Upnshop does not warrant their completeness, accuracy, or timeliness.

2. Accounts

You must provide accurate, complete, and up-to-date account information and keep your login credentials secure.

You must not create an account by impersonating another person, or provide false, misleading, or infringing information.

You are responsible for all activity under your account. If you discover unauthorised use of your account or any security concern, notify us immediately.

You may sign in with email and password or, where offered, with Google; using Google sign-in is also subject to Google's applicable terms.

You must have reached the age at which you can enter into a legally binding contract in your jurisdiction to use the Service.

3. Bookings, cancellations, and payments

Availability, prices, payment methods, cancellation policies, refund policies, no-show rules, and other transaction terms are set by the business you book with.

Please review the business's terms carefully before booking.

The business is responsible for the services it provides and for meeting its obligations.

Disputes about service content, refunds, cancellations, or other transactions are between you and the business; Upnshop may assist within reason but is not responsible for the business's acts, omissions, or performance.

4. Acceptable use

You agree not to:

• use the Service unlawfully, or make fraudulent, abusive, or spam bookings;
• disrupt, probe, or attempt to gain unauthorised access to the Service or its infrastructure;
• copy, scrape, distribute, or resell the Service or its content without permission;
• upload or distribute viruses, malware, or other content that may harm platform security;
• use automated programs, mass account creation, or other means that affect the normal operation of the platform;
• infringe the rights of others, or upload any unlawful, harmful, infringing, or inappropriate content.

5. Intellectual property

The Service and its software, design, interface, trademarks, and other related intellectual property belong to Upnshop or its licensors.

We grant you a limited, non-exclusive, non-transferable, and revocable right to use the Service in accordance with these Terms.

Without our prior written consent, you must not modify, reverse-engineer, decompile, disassemble, or attempt to obtain the source code of the Service.

Content provided by businesses and users remains theirs; you grant us the rights to host, process, and display that content to the extent necessary to provide the Service.

6. Third-party services

The Service may integrate third-party services such as Google sign-in, email delivery services, calendar integrations, cloud services, or other third-party tools.

When you use such third-party services, you must also comply with their terms of service and privacy policies. We are not responsible for the content, availability, or security of third-party services.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis and, to the maximum extent permitted by law, without any express or implied warranties.

We do not warrant that the Service will be uninterrupted, completely secure, error-free, or meet your specific needs, nor that any booking, reminder, email, SMS, or calendar notification will be successfully delivered.

You should confirm the accuracy of your booking information yourself and should not rely on system notifications as your only reminder.

8. Limitation of liability

To the maximum extent permitted by law, Upnshop is not liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of or inability to use the Service.

Upnshop is not liable for any loss caused by force majeure, internet outages, third-party service failures, government actions, or other causes beyond Upnshop's reasonable control.

Upnshop is also not responsible for the acts, omissions, service quality, or performance of the businesses you book with.

Nothing in these Terms affects any rights granted to you by applicable law that cannot be waived or limited.

9. Termination

You may stop using the Service and delete your account at any time.

If you breach these Terms or the law, or to protect the Service, other users, or platform security, we may suspend or terminate your account or access and may remove content that violates these Terms. After termination, the provisions of these Terms that by their nature should survive will continue to apply.

10. Changes to the Service

We may add, modify, suspend, or discontinue all or part of the Service's features at any time to improve the service or its security, maintain systems, or comply with legal requirements.

We may suspend all or part of the Service for system maintenance, security, or other necessary reasons.

For changes that materially affect users' rights, we will notify you by appropriate means within a reasonable period.

11. Governing law

These Terms are governed by the laws of the Republic of China (Taiwan).

Disputes arising from these Terms or the Service shall be subject to the Taiwan Tainan District Court as the court of first instance, except where applicable law provides otherwise on a mandatory basis.

12. Changes to these Terms

We may update these Terms from time to time.

The updated version will be posted on this page, and the "Last updated" date will be revised.

Continuing to use the Service after changes take effect means you agree to be bound by the updated Terms.
